Ho Chi Minh City — 16 March 2026 – Indochine Counsel is pleased to announce that it has advised Hoang Cat Tuong Company (HCT) on its successful subscription for shares issued through a private placement by Phuc Thinh Design Construction Trading Corporation (HNX: PTD).
The transaction involved the issuance of 15 million shares at a par value of VND10,000 per share. Upon completion, HCT acquired a 75% equity stake in PTD, becoming the company’s strategic investor.
Founded in 2001, PTD is a design and construction company that first registered for trading on UPCoM in 2010 and was subsequently listed on the Hanoi Stock Exchange (HNX) in 2015. After more than 25 years of establishment and development, the participation of a new strategic investor is expected to strengthen PTD’s financial capacity and industry expertise, supporting its next phase of growth.
Indochine Counsel provided comprehensive legal support to the investor throughout the transaction, including legal due diligence, transaction structuring, drafting and negotiation of transaction documents, and completion of closing procedures applicable to a listed company.
